Bel Khedme Platform: Terms & Conditions

These Terms & Conditions (the "Terms") constitute a legally binding agreement between you ("User," "Customer," "Service Provider," or "Serviceman") and M8rixLabs ("Company," "we," "us," or "our"), the owner and operator of the Bel Khedme platform (the "Platform"), including its associated mobile applications (Customer App, Service Provider App, Serviceman App) and website. By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using the Bel Khedme Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms apply to all users of the Platform, including without limitation users who are customers, vendors, service providers, merchants, and/or contributors of content. Your use of the Platform is also subject to any additional terms, conditions, and policies that we may provide to you from time to time.

2. Definitions

• Platform: Refers to the Bel Khedme mobile applications (Customer App, Service Provider App, Serviceman App) and website, owned and operated by M8rixLabs.
• Company (M8rixLabs): The legal entity M8rixLabs, located in Lebanon, which owns and operates the Bel Khedme Platform.
• User: Any individual or entity that accesses or uses the Platform.
• Customer: An individual who uses the Platform to request and book services from Service Providers.
• Service Provider: An individual (Freelancer) or a legal entity (Company) that offers and provides services to Customers through the Platform. Service Providers are independent contractors.
• Serviceman: An individual employed or contracted by a Company Service Provider to perform services for Customers on behalf of that Company Service Provider.
• Services: The various in-home and on-demand services offered by Service Providers through the Platform.
• User-Generated Content (UGC): Any content, including but not limited to text, images, photos, videos, reviews, and ratings, that Users submit, post, or display on or through the Platform.

3. Eligibility and User Accounts

• Age Requirement: Users must be at least 18 years of age to register for an account and use the Platform.
• Account Creation: To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. M8rixLabs cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account and password.
• Identity Verification: We verify identities by requiring a government-issued ID for solo Service Providers and Customers, a government-issued ID plus business registration for Company Service Providers, and by holding companies accountable for verifying the identities of their assigned Servicemen.

4. Independent Contractor Status of Service Providers

Service Providers (both Freelancers and Companies) are independent contractors and are NOT employees, agents, joint venturers, or partners of M8rixLabs. M8rixLabs provides a platform to connect Customers with Service Providers but does not control, supervise, or direct the Service Providers in their performance of services. Service Providers are solely responsible for their own tools, equipment, training, and methods of work. Service Providers are responsible for all taxes, insurance, and other liabilities associated with their business.

5. Services and Bookings

• Service Requests: Customers can request services by providing details of the task, location, and preferred timing (direct booking or scheduled 2-hour slots).
• Provider Matching & Bidding: The Platform facilitates matching Customers with available Service Providers. Service Providers may bid on custom service requests, allowing Customers to choose based on offers, ratings, and reviews.
• Service Agreement: When a Customer accepts a Service Provider's offer or booking, a direct service agreement is formed between the Customer and the Service Provider. M8rixLabs is not a party to this agreement.
• Cancellation Policy: Cancellations by Customers or Service Providers must occur within the Platform’s defined timeframe. Late or repeated cancellations may result in warnings, temporary restrictions, reduced visibility, or account suspension to ensure fairness and service reliability.

6. Payments and Fees

• Payment Processing: All payments for services rendered through the Platform are processed via Areeba, our third-party payment gateway. You agree to abide by Areeba's terms and conditions.
• Fees for Service Providers: Currently, Service Providers pay a subscription-based fee to M8rixLabs for access to the Platform and its features. M8rixLabs reserves the right to introduce commission-based fees for Customers in the future, which will be communicated and updated in these Terms.
• Refund Policy: If a service is cancelled or the Service Provider did not show up as agreed, Customers may be entitled to a refund. All refund requests will be handled in accordance with M8rixLabs' Refund Policy, which may require review of evidence and adherence to cancellation policies.
• Serviceman Add-ons: Servicemen, with Customer's OTP approval, may add line items for extra work or parts on-site. These additional charges will be reflected in the final invoice.

7. User-Generated Content (UGC)

• Ownership: Users retain ownership of their User-Generated Content. However, by uploading, posting, or displaying UGC on or through the Platform, you grant M8rixLabs a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, display, reproduce, distribute, modify, adapt, publish, and create derivative works of such UGC for the purposes of operating, promoting, and marketing the Platform and its services, in accordance with these Terms and our Privacy Policy.
• Responsibility for UGC: You are solely responsible for your UGC and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish UGC that you submit.
• Prohibited Content: You agree not to post any UGC that is illegal, offensive, defamatory, infringing, or violates any third-party rights.

8. Referral & Loyalty Program

• Refer & Earn: The Platform may offer a "Refer & Earn" program. The terms and conditions of this program, including how points are earned and redeemed, will be detailed separately or within the Platform.
• Loyalty Points: Loyalty points earned through the Platform have a cash value as defined by M8rixLabs and can be redeemed for services or other benefits as specified within the Platform.

9. Dispute Resolution

• Platform as Intermediary: In case of a conflict between a Customer and a Service Provider, M8rixLabs acts as a neutral intermediary. We will review evidence from both parties and facilitate communication to help resolve conflicts. We may offer mediation services.
• Enforcement of Rules: In cases where a resolution cannot be reached between the parties, M8rixLabs can enforce Platform rules, apply penalties, or take account actions (e.g., suspension or termination) according to these Terms. M8rixLabs does not act as a legal arbiter and its decisions are not legally binding judgments. Users are encouraged to seek independent legal advice for unresolved disputes.

10. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any local, state, national, or international law.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the integrity or performance of the Platform or the data contained therein.
• Attempt to gain unauthorized access to the Platform or its related systems or networks.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform.

11. Disclaimers and Limitation of Liability

• Platform as Facilitator: M8rixLabs provides a platform to connect users but does not directly provide services. We make no representations or warranties regarding the quality, safety, or legality of the services provided by Service Providers.
• No Warranties: The Platform is provided "as is" and "as available" without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or noninfringement.
• Limitation of Liability: To the fullest extent permitted by applicable law, M8rixLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Platform; (b) any conduct or content of any third party on the Platform; or (c) unauthorized access, use, or alteration of your transmissions or content.

12. Indemnification

You agree to indemnify, defend, and hold harmless M8rixLabs, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms.

13. Modifications to Terms

M8rixLabs reserves the right to modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Platform, or updating the "Last Updated" date at the beginning of these Terms. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Lebanon, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in Lebanon to resolve any dispute or claim arising from these Terms.
